Welcome to Phreloxia. These Terms of Use govern your access to and use of our online education platform, including all content, features, and services offered through phreloxia.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

1. Acceptance of Terms

By creating an account, accessing content, or using any services on Phreloxia, you acknowledge that you have read, understood, and agree to comply with these Terms of Use and our Privacy Policy. These Terms constitute a legally binding agreement between you and Phreloxia.

2. Eligibility

If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

  • Not share your account with others or allow others to access your account
  • Update your account information to keep it current and accurate

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that we deem inappropriate or harmful to the Platform or other users.

4. Use of the Platform

4.1 License Grant

Subject to your compliance with these Terms, Phreloxia grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial educational purposes.

4.2 Permitted Uses

You may use the Platform to:

  • Browse and view available masterclasses and educational content
  • Enroll in and participate in masterclasses
  • Download materials provided for your personal educational use
  • Interact with instructors and other participants as permitted by the Platform features

4.3 Prohibited Uses

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms
  • Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from the Platform without authorization
  • Download or record video content except where explicitly permitted
  • Share your account credentials or access with others
  • Circumvent any technological measures designed to protect content or the Platform
  • Use automated systems, bots, or scripts to access the Platform or extract data
  • Upload, post, or transmit any malicious code, viruses, or harmful materials
  • Harass, abuse, threaten, or harm other users or instructors
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the operation of the Platform or servers
  • Use the Platform to compete with Phreloxia or for commercial gain without authorization

5. Content and Intellectual Property

5.1 Platform Content

All content available on the Platform, including but not limited to videos, text, graphics, images, audio, software, code, and other materials (collectively, "Content"), is owned by Phreloxia, our instructors, or our licensors and is protected by copyright, trademark, and other intellectual property laws.

5.2 Ownership

Phreloxia retains all rights, title, and interest in and to the Platform and all Content. Your use of the Platform does not grant you ownership of any Content, and you may not use any Content except as expressly permitted by these Terms.

5.3 Trademarks

Phreloxia, our logo, and other marks used on the Platform are trademarks or registered trademarks of Phreloxia. You may not use these marks without our prior written permission.

5.4 User Content

If you submit, post, or upload any content to the Platform, including comments, reviews, or feedback ("User Content"), you grant Phreloxia a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media. You represent and warrant that you own or have the necessary rights to grant this license.

6. Course Enrollment and Access

6.1 Enrollment

When you enroll in a masterclass, you will receive access to the course content for the duration specified at the time of purchase. Access periods vary by course and will be clearly indicated before enrollment.

6.2 Course Content Updates

We reserve the right to modify, update, or discontinue any course or content at any time. While we strive to maintain access to purchased courses, we do not guarantee that any course will be available indefinitely.

6.3 No Guarantee of Outcomes

While we strive to provide high-quality educational content, we do not guarantee any specific outcomes, skill acquisition, or results from your participation in any masterclass. Your success depends on various factors including your effort, dedication, and individual circumstances.

7. Payment and Pricing

7.1 Pricing

Prices for masterclasses and subscriptions are displayed on the Platform and may be changed at any time. We will provide notice of price changes for existing subscriptions as required by applicable law.

7.2 Payment

Payment must be made through the payment methods offered on the Platform. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge all fees incurred.

7.3 Refunds

Refund policies are specified in our separate Refund Policy. Generally, all sales are final unless otherwise stated or required by applicable law.

7.4 Taxes

You are responsible for any applicable taxes, duties, or government charges related to your purchase, unless otherwise stated.

8. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Phreloxia DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • The quality of any content, services, or materials will meet your expectations
  • Any errors or defects will be corrected
  • The Platform will be free from viruses or harmful components

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Phreloxia, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Platform
  • Any conduct or content of any third party on the Platform
  • Any content obtained from the Platform
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL Phreloxia'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO Phreloxia IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Phreloxia and its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any User Content you submit, post, or upload

11. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or resources. These links are provided for your convenience only. Phreloxia has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Phreloxia shall not be responsible or liable for any damage or loss caused by your use of any third-party content, goods, or services.

12. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

14. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Platform will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with applicable international commercial laws and practices. Any disputes arising from these Terms or your use of the Platform shall be resolved through good faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration in accordance with international arbitration rules.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Platform, constitute the entire agreement between you and Phreloxia regarding your use of the Platform and supersede any prior agreements or understandings.

18. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19. Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms and our rights and obligations at any time without restriction.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
